The AI Capex Debt Machine Widens: Broadcom Raising $50B+ for OpenAI's "Nexus" Chips, Oracle's Leaseback Talks — and Apollo Is in All Three Deals

Original subject (Oct 2–7): the AI buildout's financing moved off balance sheet — Amazon in talks to put ~$8B of Nvidia Grace Blackwell chips into a debt-funded SPV and lease them back; Broadcom working to arrange $50B+ in financing for OpenAI's custom chips; Oracle in talks on financing for a major chip purchase — with Apollo Global Management appearing in all three.

Update (Oct 5, FT — this cycle): the largest chip-financing deal ever is now in syndication. The $60B package funding Anthropic's TPU leases went to market: "Wall Street banks on Monday began offloading part of a new $60bn debt package to fund Anthropic's lease of Google semiconductors, the largest chip-financing deal to date1 as tech companies race to secure AI computing power." Bank of America, Citigroup and Morgan Stanley — which committed to fund the deal — "have reached out to other banks to purchase portions of the debt." Structure per the FT: ~$42B of senior-secured loans backed by Broadcom's guarantee began syndication Monday (potentially sellable into private placements or the IG bond market on the back of Broadcom's A-minus rating); an additional $18B of junior debt without guarantees launches later, with Blackstone already committing to ~$9B of it. Two forward-looking details: "Since lenders will be exposed to Anthropic credit risks in the junior debt, banks might prefer tapping the market after its IPO later this year so would-be investors can access its financial disclosures" — tying the debt machine's next tranche to Anthropic's $2T Pitch: Q3 Revenue $16.8B (+45%), Investor Day Held Oct 14, Public Prospectus Due ~Oct 25 — Early Backer Predicts a $2.4T Pop — and Anthropic could issue up to $42B of convertible notes to Broadcom to pay the leases, per Broadcom's quarterly report.

Update (Oct 8, Bloomberg — this cycle): the credit market is repricing the buildout in real time. Oracle, Broadcom, SpaceX and peers have priced nearly half a trillion dollars of new debt this year for AI infrastructure; Bloomberg calculates Broadcom alone may raise about $600 billion in coming years. There have been nine US high-grade deals of $25B+ this year — the most ever. The repricing is now visible in credit insurance: five-year default probabilities implied by CDS are above 20% for Oracle, about 16% for SpaceX, and more than 7% for Nvidia; Broadcom's five-year CDS hit a record 136bp and Oracle's a record 261bp. Oracle is now in talks with Apollo and Goldman Sachs on an SPV structure for a chip purchase (per WSJ, via Bloomberg) — the same leaseback pattern as the Amazon and OpenAI deals. Allspring's Mark Clegg: "Every new financing announcement feels like another entrant in an auction for investor balance sheet, and that's creating a level of spread volatility that would have seemed hard to imagine a year ago... Some days it feels like the market is holding an emergency meeting every few hours to reprice the size of the AI buildout."

The equity gate closed first: Nvidia-backed Firmus pulled its $5B IPO the same week — Firmus Pulls Its $5B IPO: The First Big AI-Infrastructure Float to Fail — Would Have Been the ASX's Second-Largest Listing Ever.

What it means. Lenders are not walking away — the $60B syndication launched, and the deals in flight proceed — but the marginal cost of AI debt is rising and the structures keep getting more elaborate (guarantees, SPVs, convertible notes, post-IPO timing). That is the live context for the open question of whether OpenAI's $20B revenue-forecast gap threatens the debt-financed capex wave: so far the market's answer is "reprice, don't refuse."
