Specialized GPU Clouds Face Competitive Disruption as Meta and SpaceX Reshape the Market
The specialized GPU cloud provider ("neocloud") market, previously led by pure-play operators like CoreWeave and Nebius, is experiencing severe structural disruption in mid-2026. This disruption is driven by two powerful forces: the entry of mega-cap technology companies selling their own excess AI compute capacity, and the complex financial engineering underpinning the neocloud business model.
"Meta Compute" and the Capex Offloading Strategy
On July 1, 2026, Bloomberg reported that Meta Platforms (META) is developing plans for a cloud infrastructure business dubbed "Meta Compute." Led by head of infrastructure Santosh Janardhan, Meta Superintelligence Labs leader Daniel Gross, and president Dina Powell McCormick, the initiative aims to sell access to both "raw" AI compute power and hosted models (such as its recently launched Muse Spark).
This move follows a similar strategy by SpaceX, which in May 2026 began leasing out capacity from its Colossus 1 data center via xAI to Anthropic, Google, and Reflection AI. For Meta, launching a cloud service turns its massive $125B–$145B capex burden into a potential revenue stream, while putting it in direct competition with traditional hyperscalers (AWS, Azure, Google Cloud) and specialized GPU clouds.1
To mitigate the balance sheet pressures of their colossal AI hardware spending, hyperscalers have committed to massive long-term leasing agreements with neoclouds:
- Microsoft (MSFT): Has committed approximately $60 billion in capacity agreements to CoreWeave, Nebius, and Nscale.
- Meta (META): Has committed $35.2 billion to CoreWeave (including a recent $21 billion expansion) and up to $27 billion to Nebius, totaling up to $62.2 billion.
- Combined Scale: Microsoft and Meta's total neocloud commitments extend up to $122.2 billion—equivalent to roughly 90% of AWS's TTM revenue. Factoring in OpenAI and Anthropic, total commitments exceed $145 billion.
By leasing compute capacity from neoclouds, hyperscalers shift their cost timeline from upfront capital expenditures (capex) to long-term operating expenses (opex) spread over contracts running through 2031–2032. This keeps the massive spending off their cash flow statements, protecting their free cash flow (FCF) profiles. For instance, Meta's Q1 2026 FCF was $13.23 billion on $19.00 billion in capex, while Microsoft's 2026 capex is guided toward $190 billion, consuming nearly 95% of its projected operating cash flow.
The Neocloud Debt Engine and Circular Financing Risks
As hyperscalers offload their capex, neoclouds are absorbing the massive capital and debt burdens required to build data centers and procure GPUs.
CoreWeave is expanding its active power footprint (targeting 1.7 GW active by the end of 2026, up from 1.0 GW), but its financial position is increasingly leveraged:
- Q1 2026 Cash Flow: OCF was $2.98 billion, compared to $7.7 billion in capex, resulting in free cash flow of -$4.71 billion.
- Balance Sheet: Cash fell 28.3% quarter-over-quarter to $2.27 billion, while total debt rose to $24.86 billion. Net cash is -$22.6 billion.
- Fresh Debt: On June 11, 2026, CoreWeave announced a $3.5 billion senior notes offering to fund its estimated $31B–$35B full-year 2026 capex.
- GPU-Backed Debt: CoreWeave relies on Delayed Draw Term Loans (DDTLs) backed by GPUs and customer contracts. Its $8.5 billion DDTL 4.0, closed in March, was the first to receive an investment-grade rating because it was backed by Meta's contract. DDTL 5.0, closed in May for $3.1 billion, was backed by non-investment-grade contracts, resulting in higher interest rates.
Nebius is in a stronger position, with $9.37 billion in cash and $8.45 billion in debt (net cash of $920 million), but it faces a $6.3 billion funding gap to meet the midpoint of its $22.5 billion full-year 2026 capex guidance. It is targeting 800 MW to 1 GW of connected power by the end of 2026.
This rapid expansion is heavily supported by Nvidia (NVDA), creating a highly scrutinized cycle of circular financing. Nvidia has made multi-billion dollar equity investments in both neoclouds, including recent $2 billion investments in each company.2 Furthermore, Nvidia has provided a $6.3 billion financial backstop to CoreWeave:
"in instances where [CoreWeave’s] datacenter capacity is not fully utilized by its own customers, NVIDIA is obligated to purchase the residual unsold capacity through April 13, 2032."
In turn, CoreWeave and Nebius use this capital to purchase tens of billions of dollars in Nvidia GPUs (such as Blackwell and Rubin Ultra), driving Nvidia's record-breaking revenues. While this circular structure secures Nvidia's near-term GPU demand, it raises significant questions about the long-term sustainability of the neocloud model as revenue lags capex 2:1 and interest rates remain elevated.
